4. Fees and Payment Terms

4.3 Late payments may incur interest at a rate of 10% per month.

5. Project Timelines
5.1 The Company will use reasonable efforts to meet project timelines but shall not be held liable for delays caused by the Client or unforeseen circumstances.
5.2 Any delays resulting from the Client’s failure to provide necessary materials or feedback may impact the project timeline.
6. Intellectual Property
6.1 Upon full payment, the Client will own the rights to the final website design and deliverables, excluding any third-party tools or plugins used.
6.2 The Company retains the right to showcase the completed project in its portfolio unless otherwise agreed in writing.
7. Third-Party Tools and Services
7.1 The Company may use third-party tools, plugins, or services as part of the project. Any associated costs will be communicated to the Client in advance.
7.2 The Company is not responsible for the performance or functionality of third-party services.
8. Confidentiality
8.1 Both parties agree to keep confidential any proprietary information shared during the project.
8.2 This confidentiality obligation does not apply to information that is publicly available or required to be disclosed by law.
9. Warranty and Liability
9.1 The Company warrants that the services provided will be performed professionally and to the best of its abilities.
9.2 The Company does not guarantee specific results, such as increased traffic or sales, unless explicitly stated in writing.
9.3 The Company shall not be liable for indirect, incidental, or consequential damages arising from the use of the services provided.
10. Termination
10.1 Either party may terminate the agreement upon written notice if the other party breaches these Terms.
10.2 Upon termination, all outstanding fees must be paid, and the Client will receive deliverables completed up to the termination date.
11. Dispute Resolution
11.1 Any disputes arising from these Terms will first be resolved through negotiation.
